On some systems like *nix, file permissions are often set so that one cannot accidentally overwrite and destroy files. Doing an overwrite can then appear to be successful, whereas in reality it wasn't. Requiring a "clean" install makes sure that this does not happen.

Texhnically, it probably should't. A senario where it could go wrong is if the developers "redesign and reorganize" the language files, and the new install/overwrite then "leaves" an old file :( you might get problems. So a clean install makes sure that there is nothing in directories which should not be there. It is also easier from a support point of view :).
